By accessing, browsing, or using the Bella Wedding AI platform (the "Service"), whether through our website at bellaweddingai.com, mobile applications, or any related services (collectively, the "Platform"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service (these "Terms"), including all policies incorporated herein by reference.
IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THIS SERVICE.
Your use of the Service constitutes your legally binding acceptance of these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. INCORPORATION OF POLICIES
These Terms incorporate the following policies by reference, all of which are binding and enforceable as if fully set forth herein:
All incorporated policies are available on our Platform and are subject to the same modification procedures as these Terms.
3. ELIGIBILITY & AGE REQUIREMENT
You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is older) to use this Service.
By using the Service, you represent and warrant that:
- You are 18 years of age or older
- You have the legal capacity to enter into a binding agreement
- You are not prohibited by law from using the Service
- All information you provide is accurate and current
We reserve the right to request proof of age and to suspend or terminate accounts that violate this requirement.
We do not knowingly collect information from minors. If we discover that a minor has created an account, we will promptly delete it.
4. SERVICE DESCRIPTION
Bella Wedding AI is a self-service, AI-assisted wedding planning tool. We provide organizational features, AI-powered suggestions, vendor directory listings, and collaboration tools to help users plan their weddings.
BELLA WEDDING AI IS NOT:
- A professional wedding planning service, coordinator, or consultant
- A law firm, legal advisor, or provider of legal services
- A financial advisor or accounting service
- A vendor vetting or verification agency
- An insurance provider or guarantor of vendor performance
- A mediator or arbitrator of vendor-client disputes
- A substitute for professional advice of any kind
We provide tools and AI-generated suggestions. You make all decisions. We are not responsible for the outcome of your wedding, vendor relationships, or any decisions made using our platform.
Service Availability
NO UPTIME GUARANTEE:
We do not guarantee uninterrupted, timely, or error-free access to the Service. The Service may be temporarily unavailable due to maintenance, updates, server issues, third-party service outages, internet disruptions, or circumstances beyond our control.
- We are not liable for any loss or damage resulting from Service unavailability
- This includes unavailability on or near your wedding date
- You should maintain offline backups of critical wedding details (vendor contacts, timeline, guest list)
- We recommend exporting your data periodically using our export features
DO NOT rely on Bella Wedding AI as your sole source of wedding planning information on your wedding day. Always maintain printed or offline copies of essential details.
5. MODIFICATION OF TERMS
We reserve the right to modify these Terms at any time. When we make changes:
- Material Changes: We will provide at least 30 days' notice via email and/or prominent notice on the platform before changes take effect
- Minor Changes: We will update the "Last Updated" date at the top of this page
- Continued Use: Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms
- Disagreement: If you do not agree with revised Terms, you must stop using the Service and delete your account

6. USER ACCOUNTS & RESPONSIBILITIES
Account Creation
To access certain features, you must create an account. When you create an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
Account Security
You are solely responsible for maintaining the security of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account. If you suspect unauthorized access, contact us immediately at support@bellaweddingai.com.
Email Communications & Opt-Out (CAN-SPAM)
By creating an account, you consent to receive transactional and account-related emails from Bella Wedding AI (e.g. booking confirmations, message notifications, vendor invites you accepted, weekly digests, RSVP reminders). You can opt out of any of these at any time:
- One-click unsubscribe: Every Bella email contains an "Unsubscribe or change preferences" link in the footer that opens a public preferences page (no login required) where you can turn off any individual email type or every Bella email at once.
- Per-type controls: You can opt out of welcome emails, booking confirmations, booking reminders, message notifications, review requests, weekly digests, vendor lead alerts, wedding update notifications, and vendor claim codes individually.
- Master kill-switch: "Unsubscribe from all Bella emails" stops every promotional, transactional, and notification email immediately.
- Critical security exception: Password reset, account-security, and payment-receipt emails are exempt from opt-out as required by federal law and to keep your account safe.
- Re-subscribe: You can re-subscribe at any time by toggling preferences back on at the same link.
Your unsubscribe takes effect immediately. We comply with the CAN-SPAM Act of 2003 and never sell or share your email address with third parties for marketing purposes.
Account Termination
We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:
- Violation of these Terms or any incorporated policy
- Fraudulent, abusive, or illegal activity
- Non-payment of subscription fees
- Extended inactivity (12+ months)
- Providing false or misleading information
- Conduct harmful to other users, vendors, or the platform
Upon termination, your right to use the Service immediately ceases. We may retain certain data as required by law or legitimate business purposes. See our Data Retention Policy for details.
User Content License
YOUR CONTENT REMAINS YOURS:
You retain all ownership rights to content you upload, create, or submit through the Service (photos, text, seating charts, documents, etc.). However, by using the Service, you grant Bella Wedding AI a limited, non-exclusive, worldwide, royalty-free license to:
- Host, store, cache, and back up your content on our servers and third-party infrastructure
- Display your content to collaborators and vendors you have authorized
- Process your content through AI services to provide features you request (e.g., contract analysis, recommendations)
- Display your published wedding website content to the public (when you choose to publish)
- Generate thumbnails, previews, and optimized versions for platform display
This license exists solely to operate the Service and provide features to you. We will never sell your content, use it for advertising without consent, or claim ownership of it.
This license terminates when you delete your content or your account, except for content shared with other users, cached copies in normal operations, or content retained for legal compliance.
7. SUBSCRIPTION & PAYMENT TERMS
Subscription Tiers
Bella Wedding AI offers three subscription tiers for couples/brides:
- Free Plan ($0): Up to 50 guests (manual RSVP), 15 vendor messages/month, no editor seats (only the couple edits), up to 3 vendor collaborators + 3 read-only viewers (vendors booked through Bella don't count), QR code for RSVP, basic checklist & timeline, 4-section text website, basic budget tracker, no document storage, 5 free AI actions to try it out
- Standard Plan ($19.99/month): Up to 100 guests (auto RSVP), 100 vendor messages/month, 5 related events, 50 AI actions per month (chats, actions, contract analysis, etc.), 100 photo gallery, text-based seating chart, free subdomain website, 25 document uploads, 3 editor collaborators + unlimited collaborators & viewers
- Premium Plan ($29.99/month): Up to 500 guests (auto RSVP + seating), 300 vendor messages/month, 10 related events, 500 AI actions per month, 100 photo gallery, drag & drop seating chart, AI vendor auto-matching, guest meal & dietary tracking, day-of timeline sharing, export to PDF, 50 AI image credits/month (decor, save-the-dates & invitations), 100 document uploads, unlimited editor collaborators + unlimited viewers, priority support

Billing & Payments
- All payments are processed securely through Stripe
- Monthly subscriptions are billed on the same date each month
- Annual subscriptions (20% discount) are billed once per year
- You may cancel your subscription at any time from your account settings
- Upon cancellation, you retain access until the end of your current billing period
- Prices are subject to change with 30 days' notice to existing subscribers

Contract & Document Features
IMPORTANT DISCLAIMER REGARDING CONTRACTS AND DOCUMENTS:
Bella Wedding AI provides two types of contract-related features:
- Contract Tracking: You can record metadata such as contract signed status, deposit amounts, payment due dates, and links to externally stored documents. We do not access, read, or validate linked external documents.
- AI Contract Analysis (Optional): You may optionally upload contract files directly for AI-powered analysis. When you do, our AI processes the document to extract key dates, payment terms, services, and obligations. This analysis is for informational and organizational convenience only — it is NOT legal advice, legal review, or a substitute for professional legal counsel.
Bella Wedding AI does NOT enforce, guarantee, or validate any contract. We are NOT a law firm and do NOT provide legal services.
You acknowledge and agree that:
- AI contract analysis output is automated and may contain errors, omissions, or misinterpretations
- AI analysis does NOT replace review by a qualified attorney
- We make no warranty that AI analysis is accurate, complete, or legally sufficient
- You are solely responsible for verifying all contract terms independently
- We are not responsible for the accuracy, validity, or enforceability of any contracts
- We are not a party to any agreement between you and your vendors
- Contract tracking and analysis are for your organizational convenience only
- You are solely responsible for managing your vendor relationships and agreements
- Uploaded contract files are processed by third-party AI services (OpenAI) subject to our Privacy Policy
By using our contract tracking or AI analysis features, you agree that Bella Wedding AI shall have no liability related to vendor contracts, contract interpretation, payments, disputes, or any claims arising from your vendor relationships or reliance on AI-generated analysis.
7A. COLLABORATION & VENDOR ACCESS
Collaboration Features
Bella Wedding AI allows couples ("Hosts") to invite collaborators including wedding planners, vendors, family members, and other trusted individuals to access and contribute to their wedding planning data.
Collaboration Roles & Permissions
The couple (the bride and groom) are the Owners of the wedding, each with full access. Owners may invite others under one of the following roles:
- Viewer: Pure read-only access — can see the data the Owner has shared but cannot suggest or modify anything.
- Collaborator: Intended for vendors. Can view shared data, fill out their own vendor forms, and suggest edits that require Owner approval — but cannot directly change the couple's data. (A free-tier vendor may suggest edits during an initial 30-day trial; after that, suggesting requires a paid vendor subscription. Vendors can always fill out their own forms.)
- Editor: Can directly edit the couple's wedding data without approval. Intended for a partner or trusted wedding planner.
- Admin (Wedding Planner): Editor access plus the ability to invite others and perform booking actions.
Plan limits apply: the Free plan includes no Editor seats (only the couple edits), up to 3 vendor Collaborators, and up to 3 read-only Viewers; paid plans add Editor seats and unlimited Collaborators & Viewers. Vendors booked through Bella do not count toward these limits. Limits may change; the current limits are shown on the pricing page.
The Host retains full control and may revoke collaborator access at any time.
In addition to roles, Hosts control which categories of wedding dataeach collaborator or vendor can see (for example, music details for a DJ, guest count and menu for a caterer, or style preferences for a photographer). By default each vendor receives only the categories relevant to their role; Hosts may further restrict or expand this on a per-person basis. Information a Host enters once may be reused to pre-fill that Host's other forms and their authorized vendors' questionnaires, but is only ever visible to the Host and the collaborators the Host has authorized.
Private vows. Vows written in the Vow Writer are stored privately and tied to the individual account that wrote them. A partner (or anyone else) cannot view another person's vows until that person explicitly chooses to "Reveal" them. Because privacy is tied to the logged-in account, you are responsible for keeping your own login confidential (for example, not leaving your account signed in on a device your partner also uses). Vows are never shared with vendors or other collaborators.
Suggestion & Approval Workflow
For Vendors and Editors:
When you suggest changes to a Host's wedding data, your suggestions are not applied immediately. They are submitted for the Host's review and must be explicitly approved before taking effect.
All suggestions include your name, timestamp, and details of the proposed change. You can withdraw pending suggestions at any time before approval.
Vendor Protection & Audit Trail
Activity Logging for Vendor Protection:
To protect both Hosts and Vendors, all collaboration activities are logged in an immutable audit trail. This includes:
- Who made each suggestion or change
- What was proposed or modified
- When the action occurred (timestamp)
- Whether suggestions were approved, rejected, or withdrawn
- Reason for rejection (if provided by Host)
Vendors can export their activity history as a CSV file for their records.
Scope of Services
IMPORTANT FOR VENDORS:
Collaboration access through Bella Wedding AI is limited to planning coordination features within the platform. It does not:
- Create, modify, or supersede any contracts between vendors and couples
- Obligate vendors to perform services outside their contracted scope
- Represent authorization for additional work or expenses
- Substitute for written contracts or agreements
Any services, payments, or agreements between Hosts and Vendors are governed by their separate contracts, not by collaboration activity on this platform. The audit log can serve as evidence of what was discussed or suggested within the platform.
Real-Time Collaboration & Live Sync
Live Data Synchronization:
Bella Wedding AI provides real-time data synchronization across authorized users. When any collaborator makes a change to shared wedding data, all other authorized users viewing that same data will see the update automatically without refreshing the page.
The following features include live real-time sync:
- Budget Tracker: Changes to budget items sync live to all collaborators
- Guest List: New guests, RSVP changes, and edits appear instantly
- Automated RSVP Reminders: The platform may send automated email reminders to guests who have not yet RSVP'd, at approximately 30, 14, and 7 days before the RSVP deadline. Brides can also send manual reminders at any time.
- Automated Payment Reminders: The platform may send automated payment reminders for payment due dates tracked through it. Couples receive reminders for budget and vendor payment due dates they enter (approximately 2 weeks before, 1 week before, the day before, and when overdue); vendors receive reminders for payments they track. Reminders go only to the account holder's own email address.
- Appointments & Calendar Sync: The platform aggregates appointments (e.g. venue walkthroughs, hair/makeup trials, tastings, the rehearsal, planning meetings, dress fittings) onto an Appointments page and an optional calendar feed, and may auto-fill some entries from dates you or a connected vendor enter on other forms. These are provided as a convenience and organizational aid only. Auto-filled and synced dates may be incomplete, delayed, or inaccurate, and some appointments must be entered manually. You are solely responsible for confirming every appointment directly with the relevant party and for maintaining your own independent calendar/records. Bella Wedding AI is not liable for any missed, double-booked, late, or incorrect appointment, or for any consequences of relying on the Appointments page, auto-fill, reminders, or calendar feed.
- Seating Chart: Table moves and guest assignments update in real-time
- Decor Planner: Decor notes and item updates sync to florists and planners
- Job Assignments: Task status changes sync to coordinators and helpers
- Packing List: Items checked off by helpers appear live for all viewers
- Photographer Shot List: Shots checked off sync between couple and photographer
- Approval Queue: Vendor suggestions appear instantly for Host review
- Messages: New messages appear in real-time without page refresh
You acknowledge that:
- Brief synchronization delays (typically 1-3 seconds) may occur
- If you lose internet connectivity, changes will be saved locally and synced when reconnected
- In the rare event of a sync conflict (two users editing the same field simultaneously), the most recent change takes precedence
- Real-time sync requires an active internet connection and a modern web browser
- Appointments, reminders, and calendar feeds are aids — not a guarantee. You must independently verify all dates and times and keep your own backup calendar; do not rely on the platform alone to attend appointments or meet deadlines.
Responsibilities
Hosts are responsible for:
- Carefully reviewing all suggestions before approval
- Granting appropriate access levels to collaborators
- Revoking access when no longer needed
- Maintaining separate contracts with vendors for actual services
Collaborators (Vendors, Planners, etc.) are responsible for:
- Accessing only data relevant to their role
- Submitting accurate and appropriate suggestions
- Not sharing access credentials with unauthorized parties
- Maintaining their own records via the activity export feature
- Clarifying scope of work through separate written agreements
7B. BELLA AI ASSISTANT & SMART INPUT
Overview
Bella Wedding AI provides AI-powered features to assist with wedding planning, including:
- Bella AI Chat: Conversational AI assistant for wedding planning questions and tasks
- Smart Input: Natural language processing that converts your text into wedding planning actions
- AI Recommendations: Personalized vendor matching and suggestions
- Creative Writing: AI-generated vows, toasts, hashtags, and vendor emails
Smart Input Action System
How Smart Input Works:
When you type natural language requests (e.g., "Add my cousin Sarah to the guest list with a plus one"), Bella AI will:
- Analyze your input to identify intended actions
- Propose structured actions for your review (e.g., "Add Guest: Sarah")
- Wait for your explicit confirmation before making any changes
- Execute only the actions you approve
No data is modified until you click "Confirm." You can review, edit, or reject any proposed action.
Action Type Switching
If Bella AI incorrectly categorizes an action (e.g., suggests adding something to the guest list when you meant to add it to your budget), you can:
- Click "Change" on any proposed action
- Select the correct category (Guest List, Timeline, Budget, or Task)
- The data will be automatically reformatted for the new category
AI-Generated Content Disclaimer
IMPORTANT REGARDING AI-GENERATED CONTENT:
- AI-generated vows, toasts, and other creative content are suggestions only
- You should always review and personalize AI-generated content before use
- Bella AI may produce content that is inaccurate, generic, or unsuitable for your situation
- We make no guarantees about the quality, originality, or appropriateness of AI output
- AI vendor recommendations are based on available data and may not reflect current availability or pricing
You are solely responsible for reviewing and approving all AI-generated content and actions.
Usage Limits
AI features are subject to monthly usage limits based on your subscription tier:
- Free Plan: 5 free AI actions to try it out
- Standard Plan: 50 AI actions per month
- Premium Plan: 500 AI actions per month
AI Queries include all AI-powered features: chat conversations, smart actions (adding guests, creating timelines), contract analysis, hashtag generation, seating optimization, and vendor matching. Each use counts as one query against your monthly limit. Additional AI query packs can be purchased as add-ons.
Data Processing
When you use AI features:
- Your input is sent to OpenAI's API for processing
- OpenAI does not use your data to train their models (per our Data Processing Agreement)
- We log AI interactions for usage tracking and quality improvement

Vendor Smart Input & Approval Hub
How Vendor AI Submissions Work:
Vendors and wedding planners with paid tiers can use Bella AI Smart Input to create items for your wedding. This workflow protects your data:
- Vendor uses Bella AI to create guests, timeline events, budget items, or tasks
- Items are submitted to your Approval Hub with "pending" status
- You receive a notification on your Dashboard
- You review each item and choose to Approve or Reject
- Only approved items are added to your wedding data
Vendors cannot directly modify your wedding data. All vendor-created items require your explicit approval.
The Approval Hub maintains a complete audit trail of all vendor submissions, including:
- Who submitted each item and when
- The proposed data and category
- Your approval/rejection decision and any notes
- Timestamps for all actions
This system enables wedding planners to build out your entire wedding while ensuring you maintain final control over all data.
7C. REFERRAL PROGRAM & SUBSCRIPTION CREDITS
Referral Program Overview
Bella Wedding AI offers a referral program that rewards users for referring new couples and vendors to the platform. By participating in the referral program, you agree to the following terms.
Earning Referral Credits
- Users earn credits when their referred users sign up and become paying subscribers
- Referral credits are awarded as subscription credits that apply toward your monthly subscription fees
- Users with active paid subscriptions receive credits as subscription discounts (not cash)
- Users without active subscriptions may request cash payouts (subject to fraud protection requirements)
Fraud Protection & Credit Release
IMPORTANT: CREDIT ELIGIBILITY REQUIREMENTS
To prevent fraudulent referrals, credits are not immediately available. Referral credits are released only when:
- The referred user has been a paying subscriber for at least 30 days
- The referred user has made at least two (2) successful subscription payments
- The referred user's account remains in good standing
If the referred user cancels, disputes charges, or is found to be fraudulent before these requirements are met, no credits will be awarded.
Prohibited Referral Activities
You may NOT:
- Create fake accounts to generate referral credits
- Refer yourself using multiple accounts
- Spam or engage in unsolicited marketing to generate referrals
- Use paid advertising that misrepresents Bella Wedding AI
- Offer incentives that violate our terms or applicable laws
Violation of these rules will result in forfeiture of all credits and potential account termination.
Credit Expiration & Limitations
- Referral credits expire 12 months after being earned if unused
- Credits have no cash value except as specifically provided in the payout program
- Credits are non-transferable between accounts
- We reserve the right to modify or terminate the referral program at any time with 30 days notice
- Tax reporting for referral income is your responsibility
7D. VISUAL PAGE BUILDER & WEBSITE TOOLS
Website Creation Tools
Bella Wedding AI provides visual page building tools including drag-and-drop editors, save-the-date designers, invitation creators, and wedding website builders.
Content Ownership & Rights
- Your Content: You retain ownership of all original content you upload (photos, text, videos)
- Our Templates: Design templates, graphics, and pre-made elements remain our property or our licensors'
- Limited License: You receive a limited, non-exclusive license to use our templates for your personal wedding-related purposes
- No Resale: You may not resell, redistribute, or commercially exploit our templates or designs
User-Generated Content Responsibility
YOU ARE SOLELY RESPONSIBLE FOR:
- The accuracy and legality of content you add to pages
- Ensuring you have rights to use any uploaded images, fonts, or media
- Compliance with copyright, trademark, and publicity rights
- Content that may be seen by guests who access your wedding website
Prohibited Content
You may not use our page builder tools to create content that is:
- Illegal, fraudulent, or promotes illegal activities
- Defamatory, harassing, or threatening
- Sexually explicit or pornographic
- Infringing on intellectual property rights
- Designed to spread malware or phishing
We reserve the right to remove content that violates these terms and suspend or terminate accounts.
Data Storage & Access
- Page content is stored on our servers and may be cached by third-party services
- Published wedding websites are accessible to anyone with the link (or password if set)
- We do not guarantee permanent storage; export your content before canceling your account
Platform Moderation & Account Management
To maintain platform integrity and protect our users, Bella Wedding AI reserves the right to:
- Monitor Platform Activity: Review communications, listings, and transactions conducted through our platform for compliance with these Terms
- Maintain Internal Records: Keep confidential internal records regarding user and vendor conduct, performance, complaints, and platform activity for safety and quality assurance purposes
- Investigate Complaints: Review and investigate reports of misconduct, fraud, or Terms violations submitted by users
- Take Discretionary Action: Suspend, restrict, limit visibility of, or terminate any account at our sole discretion, with or without prior notice, for any reason including but not limited to: complaints, quality concerns, suspected fraud, policy violations, inactivity, or failure to meet platform standards
- Remove Content: Remove, hide, or modify any content that violates these Terms or that we determine is harmful to our platform or users
Confidentiality of Internal Records: Our internal administrative records, notes, and moderation decisions are confidential business information and are not subject to disclosure to users or third parties except as required by law.
No Guarantee of Vendor Quality: While we strive to maintain a quality vendor directory, we do not guarantee the performance, reliability, or legitimacy of any vendor. Users are responsible for conducting their own due diligence before engaging any vendor's services.
Reporting Concerns: Users may report suspected fraud, misconduct, or Terms violations to support@bellaweddingai.com. All reports are reviewed and handled at our discretion.
7E. SEATING CHART & COLLABORATION FEATURES
Seating Chart Features
Premium subscribers have access to advanced seating chart features including:
- Drag-and-drop table and guest placement
- Room elements (dance floor, DJ booth, bar, buffet, etc.)
- Preset venue layouts
- Real-time collaboration with vendors and planners
Collaboration & Sharing
Seating charts and room layouts can be shared with:
- Collaborators: Family members, wedding party, and planners you invite
- Vendors: Venue coordinators and planners with confirmed bookings
ACCESS CONTROL:
- You control who has access to your seating chart
- Viewers can see but not modify the layout
- Editors (venue coordinators, planners) may make changes
- All changes are logged and attributable to the user who made them
- You can revoke access at any time
Data Synchronization
Seating chart data synchronizes across all authorized users in near real-time. You acknowledge that:
- Brief sync delays may occur
- Conflicting simultaneous edits may require resolution
- Offline changes sync when connection is restored
- We are not liable for seating arrangement errors or guest seating issues at your event
Event Day Disclaimer
SEATING CHART DISCLAIMER:

7E2. LOCK & APPROVAL SYSTEM
Overview
Bella Wedding AI provides a bidirectional lock and approval system that allows both couples ("Hosts") and vendors to protect items they create from unauthorized edits.
How Locking Works
Item Locking Protects Your Work:
- Vendors can lock timeline events, checklist items, and budget items they create
- Couples can lock any items in their wedding to prevent vendor edits
- Locked items display a lock icon indicating they cannot be edited
- The person who locked an item can unlock it at any time
Locking does not transfer ownership - it simply prevents changes until unlocked.
Unlock Request Process
If you need to edit an item locked by someone else:
- Click "Request Unlock" on the locked item
- Optionally provide a reason for your request
- The person who locked the item receives a notification
- They can approve (unlocks the item) or deny your request
- You receive a notification of their decision
Approval Workflow
Vendor Submissions Require Approval:
When vendors create items for your wedding, those items enter a "pending" status and appear in your Approvals dashboard. You must explicitly approve items before they become active in your wedding plans.
- Pending items are highlighted in amber/yellow
- Approved items are highlighted in champagne/gold
- Rejected items are highlighted in rose/red
Notifications
The system automatically notifies relevant parties when:
- An unlock request is submitted
- An unlock request is approved or denied
- An item is approved by the Host
- An item is rejected by the Host (with optional reason)
Accessing Lock & Approval Features
- Couples: Access the Approvals page from your Dashboard to review pending items, manage locks, and respond to unlock requests
- Vendors: Access Lock & Approvals from Planning Tools in your Vendor Dashboard to view your locked items and pending requests
IMPORTANT - LOCKS ARE COORDINATION TOOLS ONLY:
The lock and approval system is provided for planning coordination purposes only. It does not create legal obligations, modify contracts, or guarantee that locked arrangements will be honored at your event. Always confirm critical details directly with your vendors and maintain written contracts for all services.
7F. VENDOR COMMISSION & PAYMENT TERMS
Commission Structure
Bella Wedding AI charges a small commission on bookings made through our platform. This commission helps us maintain the platform, provide secure payment processing, and connect you with engaged couples.
- Free Tier: 10% commission per booking
- Premium ($34.99/mo): 5% commission per booking
- Featured ($49.99/mo): 2% commission per booking
- Elite ($79.99/mo): 0% commission - no booking fees
Commission in Perspective:
On a typical $2,000 booking, commission amounts to:
- Free (10%): $200 commission → You keep $1,800
- Premium (5%): $100 commission → You keep $1,900
- Featured (2%): $40 commission → You keep $1,960
- Elite (0%): $0 commission → You keep $2,000
Compare this to traditional advertising costs, wedding directories (that charge $500-2,000/year with no bookings guaranteed), or referral fees to other vendors (typically 10-20%). Our commission is only charged when you actually book a job.
Booking Unlocks Unlimited Messaging
FOR FREE TIER VENDORS:
Free tier vendors are limited to 10 messages per month for prospecting and initial conversations. However, once a booking is confirmed between you and a couple, messaging with that specific couple becomes unlimited for the duration of the engagement.
- The 10-message monthly limit applies only to conversations where no confirmed booking exists
- Each confirmed booking unlocks unlimited messaging with that specific couple
- Messages sent within booking conversations do not count toward your monthly limit
- Paid tier vendors (Premium, Featured, Elite) have unlimited messaging with all couples regardless of booking status
Payment Flow
When couples book through our platform:
- Non-Refundable Retainer / Deposit (30-50% of total): You set the retainer percentage per booking when you accept. The retainer is collected from the couple immediately upon your acceptance and is non-refundable (subject to your own posted cancellation policy). The retainer compensates you for securing the date, turning away other potential clients, and beginning preparation work.
- Retainer payout to you: Released to your connected Stripe account approximately 48 hours after the couple pays, so you have funds available to purchase supplies, secure sub-vendors, or pay other upfront costs before the event.
- Balance (remaining 50-70% of total): Automatically collected from the couple's saved card 30 days before the event date. The couple does not need to do anything - the charge happens off-session using the payment method they used for the retainer.
- Final payout to you: Released to your connected Stripe account at midnight after the event date. Typical bank transfer time is 1-2 business days after release.
Commission is automatically deducted by Stripe at the time of each payment. You never need to send us money - it's handled seamlessly.
The Retainer Is Non-Refundable (Vendor Protection)
Important - the deposit you collect is legally a retainer:
The 30-50% deposit collected at acceptance is, under the terms each couple agrees to when they pay, a non-refundable retainer. By paying it, the couple acknowledges that:
- The retainer compensates you for reserving their date and turning away other potential clients
- The retainer compensates you for preparation work already underway (planning, sub-vendor coordination, custom design work, supply purchases, etc.)
- The retainer is not refundable if the couple cancels, regardless of reason, unless your own posted cancellation policy says otherwise
- If the couple cancels and you choose to refund any portion of the retainer as a goodwill gesture, you do so voluntarily - Bella's commission on that retainer is still non-refundable to the platform
This is industry-standard wedding-vendor contract language. The "deposit" naming in the UI is for the couple's familiarity - the legal substance is a retainer, which is why both terms appear in this Section.
Short-Notice Bookings (Less Than 30 Days to Event)
Important rule for last-minute bookings:
If a couple books your services less than 30 days before the event date, the entire booking amount (100%) is due upfront in a single payment when you accept the booking. There is no balance auto-charge for short-notice bookings. The full amount is treated as a non-refundable retainer for short-notice bookings.
This protects both you and the couple: the 30-day-before-event auto-charge cycle cannot fire if the event is closer than 30 days away. The retainer slider in your acceptance modal automatically locks to 100% when this rule applies - no action required from you.
If the Couple's Balance Charge Fails
If the auto-charge for the balance fails (expired card, fraud lock, insufficient funds, etc.):
- The couple receives an immediate email asking them to update their payment method
- We retry the charge automatically every day until the balance is collected or until 3 days before the event date, whichever comes first
- If the balance is still unpaid 3 days before the event, you may cancel the booking. The retainer / deposit you already received remains yours (non-refundable per these Terms and your own posted cancellation policy)
- You can view the live payment status of every booking in your vendor dashboard
Commission is Earned When Booking is Accepted
IMPORTANT - NON-REFUNDABLE COMMISSION POLICY:
Platform commission is earned and non-refundable once you (the vendor) accept a booking. By accepting a booking, you acknowledge:
- Commission is earned when you accept - the platform has performed its service (connecting you with a paying customer)
- If you later issue a refund to the couple, commission is NOT refunded to you
- Refunds you issue come from YOUR portion of the payment, not from the platform commission
- Commission is collected by Stripe at payment time and goes directly to the platform - it is never "clawed back" from your account later
Factor this into your own cancellation policy. When you accept a booking, you accept that commission is final.
Before Booking is Accepted
If a booking is cancelled before you accept it (e.g., the couple changes their mind, you decline the request), no commission is charged and the couple receives a full refund.
Example Scenarios
Scenario 1: Normal Booking (30% retainer)
$1,000 booking, 10% commission (Free tier), 30% retainer, event 90 days away
- Couple pays $300 retainer immediately → Platform receives $30, you receive $270 (released to your bank ~48 hours later)
- 30 days before event: Couple's card auto-charged $700 balance → Platform receives $70, you receive $630 (released at midnight of event day)
- After event: You've received $900 total ($1,000 minus $100 commission)
Scenario 2: Vendor Chooses Higher Retainer (50%)
$2,000 booking, 5% commission (Premium tier), 50% retainer, event 60 days away
- Couple pays $1,000 retainer immediately → Platform receives $50, you receive $950 (released ~48 hours later)
- 30 days before event: Couple's card auto-charged $1,000 balance → Platform receives $50, you receive $950 (released at midnight of event day)
- After event: You've received $1,900 total ($2,000 minus $100 commission)
Scenario 3: Short-Notice Booking (100% upfront)
$800 booking, 10% commission (Free tier), event 14 days away
- Retainer % is automatically locked to 100% because event is less than 30 days away
- Couple pays $800 upfront → Platform receives $80, you receive $720 (released ~48 hours later)
- No balance auto-charge - the booking is paid in full
- The full $800 is treated as a non-refundable retainer for short-notice bookings
Scenario 4: Couple Tries to Cancel After You Accept
$1,000 booking, 10% commission, you accepted, couple paid $300 retainer, then couple wants to cancel
- Couple paid $300 retainer → Platform kept $30, you received $270
- Couple changes their mind and requests a refund
- You are not required to refund - the $300 retainer is non-refundable per these Terms and your own cancellation policy
- You keep the $270 already received. The future $700 balance is never charged because the booking is cancelled before the 30-day-before-event window
- You may offer a partial refund as a goodwill gesture if you choose - that comes from your portion only; Bella's $30 commission is never refunded
Scenario 5: Vendor Voluntarily Issues a Full Refund
$1,000 booking, 10% commission, you accepted and received $300 retainer, then you choose to refund
- Couple paid $300 retainer → Platform kept $30, you received $270
- You voluntarily issue a $300 refund → Comes from your $270 + $30 from your own funds
- Platform commission ($30) is NOT refunded
- Alternative: refund only $270 and explain that commission was non-refundable
Stripe Connect Account Required
To accept paid bookings through Bella's marketplace, you must connect a Stripe Express account. This is a one-time setup that takes approximately 2-3 minutes:
- You'll be prompted to connect Stripe the first time you click "Accept" on a real booking - not at signup
- Stripe handles identity verification, bank account verification, and all compliance requirements directly
- Your payouts go straight from Stripe to your bank account - Bella never holds your money
- You can view your Stripe dashboard, payout history, and any required action items at any time from your vendor dashboard
Vendor Agreement
By registering as a vendor on Bella Wedding AI, you agree to:
- The commission rate for your selected tier
- The non-refundable nature of commission once you accept a booking
- The payment schedule (30-50% non-refundable retainer/deposit at acceptance, balance auto-charged 30 days before event, payout released at midnight of event day, with retainer funds released to you ~48 hours after the couple pays)
- The retainer is non-refundable except as your own posted cancellation policy may explicitly allow
- The short-notice rule: bookings less than 30 days from event date require 100% payment upfront (full amount treated as non-refundable retainer)
- That Stripe will automatically deduct commission from each payment
- That refunds you issue come from your portion only
- To connect a Stripe Express account before accepting your first paid booking
Quote & Invoice Tools (Record-Keeping Only)
Bella provides vendors with quote-builder and invoice tools to create proposals, line items, and billing documents for couples (including converting an accepted quote into an invoice and downloading a PDF). These are record-keeping and communication tools.
- Marking an invoice as "sent," "paid," "overdue," or "void" is a vendor-recorded status for the vendor's own tracking. It does not represent a payment processed, held, or verified by Bella Wedding AI.
- The only payments Bella facilitates are marketplace bookings processed through Stripe Connect as described above (retainer + balance). Any amount a vendor collects outside that flow (e.g., an invoice paid by cash, check, or the vendor's own payment processor) is solely between the vendor and the couple, and Bella is not a party to, and bears no responsibility for, that transaction.
- Vendors are responsible for the accuracy of their quotes and invoices and for honoring their own posted terms and cancellation policies.
Vendor Forms & Templates (Optional Tools, Not Legal Advice)
Bella provides optional, ready-made form templatesfor vendors and couples — including questionnaires, service confirmations, cancellation policies, damage / equipment-responsibility waivers, and similar documents. These are blank starting templates and organizational tools, not legal documents drafted for your situation.
- The templates are provided “as is,” are not legal advice, and are not a substitute for a contract reviewed by a qualified attorney. You are responsible for the content you enter and for whether a given form fits your needs.
- No form or section is required to use Bella (the only exception is a vendor’s final service confirmation lock, which records the agreed details). Vendors may edit, hide, add to, or skip any template.
- A completed form, waiver, cancellation policy, or confirmation is an arrangement between the vendor and the couple. Bella is not a party to it, does not enforce it, and bears no responsibility for its terms or performance.
- Insurance certificates (COI): a vendor may optionallyupload a certificate of insurance and choose to share it with their connected couples. Bella only stores and displays the file the vendor provides — we do notverify, endorse, or guarantee any vendor’s insurance, coverage, or licensing (see also 7G).
Electronic Signatures
Some documents (for example, a couple approving a vendor’s published service confirmation) let you sign electronically by typing your name. By doing so, you agree that:
- Your typed name, together with the date and time recorded, is your electronic signature and, under the U.S. E-SIGN Act and comparable state laws, has the same legal effect as a handwritten signature on that document.
- You are signing an agreement with the other party (e.g. your vendor), not with Bella. Bella records and stores the signature as a neutral tool and is not a party to, and not responsible for, the underlying agreement.
- You consent to receive and sign these documents electronically. You may request a paper copy from the other party at any time.
7G. VENDOR TRUST BADGES
Badge System Overview
Bella Wedding AI displays trust badges on vendor profiles based on objective, verifiable metrics from couples who have used their services through our platform. These badges reflect data and feedback - they are NOT endorsements, verifications, or guarantees by Bella Wedding AI.
Profile Status Badges
- Claimed: Vendor has created an account and claimed their profile on our platform. This only indicates the vendor has signed up - it does NOT mean we have verified their business, credentials, or identity.
- Complete Profile: Vendor has filled out all profile fields. This only indicates profile completeness - it is NOT a verification of accuracy.
- Quick Responder: Vendor has an 80%+ response rate to couple inquiries. Based on platform data only.
Performance Badge Levels
These badges are earned automatically based on objective metrics from couple feedback:
- New Vendor: Recently joined the platform (no completed weddings yet)
- Established: 1+ completed weddings with 4.0+ average rating from couples
- Trusted: 5+ completed weddings with 4.5+ average rating from couples
- Top Rated: 15+ completed weddings with 4.8+ average rating from couples
- Expert: 30+ completed weddings with 4.9+ average rating and 95%+ response rate

Vendor trust badges are data-driven indicators calculated automatically from verified couple feedback and platform activity. They are provided for informational purposes only.

- Badges do NOT guarantee future performance, quality, or satisfaction
- Badges do NOT verify licensing, insurance, bonding, or legal compliance
- Badges do NOT indicate we have reviewed their work, met them, or inspected their business
- Past performance reflected in badges does NOT predict future results
You are solely responsible for evaluating and selecting vendors, regardless of their badge status.

We make no warranties regarding the accuracy, completeness, or reliability of badge data. Badge criteria and display may change at any time without notice.
No Liability for Badge Information
You acknowledge and agree that:
- Bella Wedding AI has no liability related to vendor badge accuracy or display
- Badge status does not create any warranty, guarantee, or promise regarding vendor quality
- Reliance on badge information is at your own risk
- We are not responsible for vendor performance regardless of badge status
8. WARRANTY DISCLAIMERS
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability - No guarantee the Service is suitable for commerce
- Warranties of fitness for a particular purpose - No guarantee the Service meets your specific wedding planning needs
- Warranties of non-infringement - No guarantee that use of the Service will not violate third-party rights
- Warranties of accuracy, completeness, or reliability - AI suggestions, vendor information, and all content may contain errors
- Warranties of availability or uptime - The Service may be interrupted, delayed, or unavailable
- Warranties regarding AI output - AI-generated content may be inaccurate, biased, incomplete, or unsuitable
- Warranties regarding third parties - We do not warrant the quality, reliability, or performance of any vendor or third-party service
- Warranties of data security - While we implement security measures, no system is 100% secure
YOU ASSUME ALL RISK associated with your use of the Service.
Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions may not apply to you, and our liability will be limited to the maximum extent permitted by law.
9. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE IS LIMITED TO:
THE TOTAL AMOUNT YOU ACTUALLY PAID TO US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM.
If you are using our free tier or have not made any payments, our maximum liability to you is $0. By using our free services, you acknowledge and accept that you receive these services at no cost and assume all risk associated with their use.
WE SHALL NOT BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages
- Lost profits, revenue, business opportunities, or data
- Loss of use, savings, or goodwill
- Emotional distress, reputational harm, or personal injury
- Costs of procurement of substitute services
- Damages arising from errors in AI-generated content
- Vendor performance, quality, disputes, or non-performance
- Third-party services, integrations, or external websites
- Wedding planning outcomes or event quality
These limitations apply even if any limited remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.
Planning Tool Only - Assumption of Risk
IMPORTANT: BY USING THIS SERVICE, YOU ACKNOWLEDGE AND AGREE:
- This is a planning tool only, not a professional wedding planning service
- We do not guarantee any specific outcome for your wedding or event
- You assume all risk associated with your wedding planning decisions
- You are solely responsible for verifying vendor qualifications, pricing, and availability
- You must make your own independent judgment about AI-generated suggestions
- We are not your wedding planner, consultant, or advisor
- Payment for any tier does not create a professional services relationship
Recommendations Only - You Make All Decisions
ALL CONTENT PROVIDED BY THIS SERVICE IS FOR RECOMMENDATION AND INFORMATIONAL PURPOSES ONLY:
- You make all final decisions regarding your wedding, vendors, budget, and planning
- AI suggestions, vendor recommendations, and planning tips are suggestions only
- We do not make decisions for you or on your behalf
- Any changes, bookings, or commitments you make are entirely your choice
- You are responsible for independently verifying all information before acting on it
- We have no authority to bind you to any contract or agreement
- Automated reminders and suggestions do not constitute advice or direction
YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. The Service is provided for informational and organizational purposes only. We make no guarantees about the accuracy, completeness, or timeliness of any information provided. All recommendations are suggestions that you may accept, reject, or modify at your sole discretion.
Whether you use our free tier or a paid subscription, you acknowledge that the service is a self-service tool and that all wedding planning decisions, vendor selections, budget allocations, and event outcomes are entirely your responsibility. We provide tools and recommendations; you make all decisions.
10. EXTERNAL LINKS & THIRD-PARTY WEBSITES
The Service may contain links to third-party websites, services, or resources that are not owned or controlled by Bella Wedding AI, including but not limited to vendor websites, payment processors, social media platforms, and external planning tools.
THIRD-PARTY LINKS DISCLAIMER:
- We have not reviewed all websites linked to or from our Service
- We are not responsible for the content, accuracy, or practices of any third-party sites
- The inclusion of any link does not imply endorsement by Bella Wedding AI
- We have no control over the availability, privacy policies, or terms of external sites
When you click on a third-party link, you leave our Service and are subject to the terms and privacy policies of that third-party website. We encourage you to read the terms and privacy policies of any third-party site you visit.
YOUR USE OF ANY THIRD-PARTY WEBSITE OR SERVICE IS AT YOUR OWN RISK. We shall not be liable for any damages or losses arising from your use of or reliance on any third-party content, products, or services.
11. INDEMNIFICATION
YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS Bella Wedding AI, its officers, directors, employees, agents, licensors, suppliers, and any third-party information providers from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from:
- Any violation of these Terms by you
- Your use or misuse of the Service
- Any content you submit, post, or transmit through the Service
- Your violation of any law or the rights of any third party
- Any dispute between you and a vendor, guest, or other user
- Your wedding event or any activities related to your use of our planning tools
- Any claim that your content caused damage to a third party
- Any reliance you place on AI-generated content or suggestions
This indemnification obligation will survive termination of these Terms and your use of the Service. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you shall not settle any matter without our prior written consent.
THIS INDEMNIFICATION APPLIES REGARDLESS OF WHETHER YOU ARE A FREE OR PAID USER.
12. INTELLECTUAL PROPERTY
The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Bella Wedding AI and its licensors. The Service is protected by copyright, trademark, and other laws.
Our trademarks, service marks, logos, and trade names may not be used in connection with any product or service that is not ours, or in any manner that is likely to cause confusion among customers.
13. DMCA & COPYRIGHT POLICY
We respect the intellectual property rights of others. If you believe that content available through the Service infringes your copyright, please send a notice to: dmca@bellaweddingai.com containing the information required by the Digital Millennium Copyright Act (DMCA).
We will respond to valid notices of alleged copyright infringement in accordance with applicable law and may remove or disable access to infringing content.
14. ARBITRATION & DISPUTE RESOLUTION
IMPORTANT: This section contains a binding arbitration agreement and class action waiver. It affects your legal rights. Please read it carefully.
You and Bella Wedding AI agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service (including threshold questions of arbitrability) shall be resolved exclusively through binding individual arbitration rather than in court, except as provided below.
Arbitration shall be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect. The arbitration will be held in Arkansas or remotely via video conference.
Class Action Waiver
YOU AND BELLA WEDDING AI AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
You waive the right to:
- Participate in a class action lawsuit
- Participate in a class-wide arbitration
- Bring consolidated or representative claims
Jury Trial Waiver
YOU AND BELLA WEDDING AI WAIVE THE RIGHT TO A TRIAL BY JURY.
30-Day Opt-Out Right
You have 30 days from your first acceptance of these Terms to opt out of this arbitration agreement by sending written notice to:

15. EXPORT COMPLIANCE
The Service may be subject to U.S. export control laws and may be subject to export or import regulations in other countries. You agree not to export, re-export, or transfer, directly or indirectly, any U.S. technical data or any products using such data in violation of applicable export laws.
15A. FORCE MAJEURE
EVENTS BEYOND OUR CONTROL:
Bella Wedding AI shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to:
- Acts of God, natural disasters, earthquakes, floods, hurricanes, fires, or epidemics/pandemics
- War, terrorism, civil unrest, government actions, sanctions, or embargoes
- Power outages, internet or telecommunications failures, DNS failures, or cyberattacks
- Third-party service provider outages (including but not limited to Supabase, Vercel, OpenAI, Stripe, AWS, Cloudflare)
- Labor disputes, strikes, or supply chain disruptions
- Changes in law or regulation that make performance commercially impracticable
In any such event, our obligations will be suspended for the duration of the force majeure event. We will use commercially reasonable efforts to resume normal operations as quickly as possible, but we shall not be liable for any resulting damages, losses, or inconveniences, including those arising on or near your wedding date.
